Terms of Service
Last updated: September 17, 2026
Draft template. This page is a general-purpose starting point covering SDK licensing, acceptable use, and standard SaaS liability terms. It hasn't been reviewed by a lawyer, and it doesn't yet include your registered agent or venue for disputes. Have qualified counsel review it — particularly the licensing, warranty, and liability sections — before you rely on it.
1. Acceptance of these Terms
These Terms of Service ("Terms") govern access to and use of the website located at identixia.com (the "Site") and the Face Recognition SDK, Face Liveness Detection SDK, ID Document Recognition SDK, Document Liveness Detection SDK, and Identity Verification Suite (together, the "SDKs"), each as provided by Identixia ("Identixia," "we," "us," or "our"). By accessing the Site, requesting a demo, signing an order form, or integrating an SDK into your application, you ("Customer," "you") agree to be bound by these Terms. If you're accepting on behalf of an organization, you represent that you have authority to bind that organization.
2. What Identixia Provides
Identixia licenses software development kits for biometric and document identity verification — face recognition, face liveness detection, ID document recognition, and document liveness detection — designed to run inside infrastructure you control (private cloud, on-device, on-premise servers, or offline/air-gapped environments), rather than as a hosted API. The Identity Verification Suite combines these SDKs into a single pre-built workflow. Specific SDK capabilities, supported platforms, and deployment options are described on the product pages of the Site and may be updated from time to time as the SDKs evolve.
3. Accounts & Eligibility
To request a demo, start a trial, or purchase a license, you must provide accurate contact and billing information and keep it up to date. You're responsible for activity that occurs under your account credentials, App IDs, and Machine IDs, and for notifying us promptly of any unauthorized use. The SDKs are intended for use by businesses and organizations (B2B); they are not directed to individual consumers.
4. License Grant & Licensing Models
Subject to your compliance with these Terms and payment of applicable fees, Identixia grants you a non-exclusive, non-transferable, non-sublicensable license to install and use the SDKs, in object-code form, within your own applications and infrastructure, under one of the following models as selected on your order:
- Lifetime License — a one-time fee scoped per App ID (mobile/client integrations) or per Machine (server integrations), with no mandatory recurring subscription for continued use of the licensed version. Lifetime licenses include a 15-day free trial period as described on the Pricing page.
- Yearly License — an annual fee scoped per App ID (mobile/client integrations) or per Machine (server integrations), for an individual SDK rather than the full Identity Verification Suite. Yearly licenses include the same 15-day free trial period as the Lifetime License, as described on the Pricing page.
- Transaction-Based License — a yearly plan billed per verification, at the rate for the volume tier your total annual usage falls into, as described on the Pricing page. New transaction-based plans include 500 free verification credits before metered billing begins.
Licenses are specific to the SDK(s) purchased; different products may be licensed under different models within the same deployment, as described on the Pricing page. We reserve all rights not expressly granted. You may not resell, sublicense, reverse-engineer (except where applicable law permits), or use the SDKs to build a competing product.
5. Acceptable Use
You agree not to use the SDKs or Site to: (a) violate any applicable law, including biometric privacy, data protection, or consumer protection law in the jurisdictions where your application operates; (b) process biometric or document data without the consents and notices required in those jurisdictions; (c) attempt to circumvent licensing controls or usage metering; (d) introduce malware or attempt to disrupt Identixia's systems; or (e) misrepresent Identixia's capabilities, certifications, or affiliation with your organization. You are solely responsible for obtaining any consents from your own end users required to lawfully capture and process their biometric or document data through your application.
6. Fees, Trials & Free Credits
Fees are as set out on the Pricing page or your order form, exclusive of applicable taxes. Transaction-based plans are billed based on metered verification volume as defined in the Pricing FAQ. The 15-day free trial (available on both the Lifetime License and the Yearly License) and the 500 free transaction-based-plan credits are each available once per customer per SDK, are non-transferable, and may be modified or discontinued for future customers at Identixia's discretion; changes will not retroactively remove a trial or credit balance already granted to an existing customer's active plan. Fees already paid are non-refundable except as required by law or expressly stated in your order form.
7. Intellectual Property
Identixia and its licensors retain all right, title, and interest in and to the SDKs, the Site, and all related documentation, including all intellectual property rights. These Terms grant you only the limited license described above; no other rights are implied. You retain all rights to your own application code, data, and end-user content, subject to the license you grant us in Section 8.
8. Biometric & Document Data
In on-premise, on-device, and self-hosted deployments, the SDKs are designed to process biometric and document data within your own infrastructure. Identixia does not require this data to be transmitted to Identixia's servers as part of normal SDK operation, and Identixia does not act as a processor of your end users' biometric or document data in that configuration — you do, as the party operating the application and infrastructure those end users interact with. You are responsible for your own compliance obligations regarding that data, including under biometric privacy statutes such as the Illinois Biometric Information Privacy Act, the Texas Capture or Use of Biometric Identifier Act, Washington's biometric privacy law, and applicable state, federal, or international data protection law. See our Privacy Policy for how we handle information collected through the Site itself (such as contact-form submissions and account/billing data).
9. Confidentiality
Each party may receive confidential information from the other in connection with these Terms (for example, non-public pricing, integration details, or roadmap information). Each party agrees to use the other's confidential information only to perform its obligations here, and to protect it with the same degree of care it uses for its own confidential information of similar sensitivity, but no less than reasonable care.
10. Warranties & Disclaimers
Identixia will provide the SDKs in substantial conformance with their published documentation. Except as expressly stated, the SDKs and Site are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Identixia does not warrant that biometric or document verification results will be error-free, or that the SDKs will detect every possible fraud or spoofing attempt; verification outputs should be used as one input into your own risk decisions, not as a sole determinant.
11. Limitation of Liability
To the maximum extent permitted by law, Identixia will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from or related to these Terms or use of the SDKs, even if advised of the possibility of such damages. Identixia's total aggregate liability arising out of or related to these Terms will not exceed the amount you paid to Identixia for the SDK giving rise to the claim in the twelve (12) months preceding the event giving rise to liability.
12. Indemnification
You agree to indemnify and hold Identixia harmless from claims, damages, and expenses (including reasonable legal fees) arising from your use of the SDKs in violation of these Terms or applicable law, including claims brought by your own end users relating to your collection or use of their biometric or document data.
13. Term & Termination
These Terms remain in effect while you use the Site or hold an active license. Either party may terminate a transaction-based plan for convenience at the end of the then-current billing year with notice as described in your order form. Identixia may suspend or terminate access for material breach of these Terms that isn't cured within a reasonable period after notice. Sections that by their nature should survive termination (including Intellectual Property, Confidentiality, Warranties & Disclaimers, Limitation of Liability, and Indemnification) will survive.
14. Governing Law
Identixia is incorporated in the Commonwealth of Kentucky. These Terms are governed by the laws of the Commonwealth of Kentucky and applicable United States federal law, without regard to conflict-of-law principles. The venue for disputes will be confirmed here once finalized by counsel.
15. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we'll update the "Last updated" date above and, where appropriate, notify active customers by email. Continued use of the Site or SDKs after changes take effect constitutes acceptance of the updated Terms.
16. Contact
